1. Agreement to Terms

By joining the Moments in Vine waitlist ("Waitlist"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not provide your email address or use our website.

These Terms apply to your participation in the Waitlist and your use of the website located at momentsinvine.com (the "Website").

2. Waitlist Description

2.1 Purpose

The Waitlist allows you to express interest in Moments in Vine, a wine collection management service currently in development. By joining, you will receive:

• Early notification when we launch
• Priority access to the product
• Occasional updates about product development
• Opportunities to provide feedback

2.2 No Guarantee

Joining the Waitlist does not:

• Guarantee access to the product
• Create any obligation for us to launch the product
• Constitute a binding contract for future services
• Guarantee any specific features or pricing

2.3 Free Service

Joining the Waitlist is completely free. We will never charge you for being on the Waitlist.

3. Eligibility

To join the Waitlist, you must:

• Be at least 18 years old
• Provide a valid email address that you own and can access
• Have the legal capacity to enter into these Terms
• Comply with all applicable laws in your jurisdiction

By joining the Waitlist, you represent and warrant that you meet these eligibility requirements.

4. Your Responsibilities

4.1 Accurate Information

You agree to provide accurate and current information when signing up. You are responsible for updating your email address if it changes.

4.2 Prohibited Conduct

You agree not to:

• Provide false or misleading information
• Sign up multiple times with different email addresses (spam)
• Use automated systems or bots to join the Waitlist

4.3 Consequences of Violation

We reserve the right to remove you from the Waitlist and deny access to our future services if you violate these Terms.

7.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use the Website solely for the purpose of joining the Waitlist. You may not copy, modify, distribute, sell, or lease any part of the Website without our prior written consent.

8. Disclaimers

8.1 "As Is" Basis

THE WEBSITE AND WAITLIST ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

8.2 No Guarantees

We do not warrant that:

• The Website will be uninterrupted, secure, or error-free
• The product will launch on any specific date or at all
• Defects will be corrected
• The Website is free of viruses or other harmful components

8.3 Third-Party Services

We use third-party services (Supabase, Resend, Plausible Analytics, Netlify) to operate the Waitlist. We are not responsible for the performance or reliability of these third-party services.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MOMENTS IN VINE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your use or inability to use the Website or Waitlist
• Any unauthorized access to or use of our servers and/or personal information stored therein
• Any interruption or cessation of the Website
• Any bugs, viruses, or similar harmful components
• Any errors or omissions in any content

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED ONE HUNDRED POUNDS (£100).

10. Indemnification

You agree to indemnify, defend, and hold harmless Moments in Vine and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Website or Waitlist, your violation of these Terms, or your violation of any rights of another party.

11. Changes to Service

We reserve the right to modify, suspend, or discontinue the Waitlist or Website at any time, with or without notice, for any reason. We will not be liable to you or any third party for any modification, suspension, or discontinuance.

12. Termination

12.1 By You

You may terminate your participation in the Waitlist at any time by unsubscribing from our emails.

12.2 By Us

We reserve the right to remove you from the Waitlist at any time, for any reason, including but not limited to:

• Violation of these Terms
• Fraudulent or abusive behavior
• Invalid or inaccessible email address
• Discontinuation of the Waitlist

12.3 Effect of Termination

Upon termination, your right to participate in the Waitlist will immediately cease. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and governing law) will survive.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Waitlist shall be subject to the exclusive jurisdiction of the courts of England and Wales.

14. Dispute Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms, we encourage you to first contact us at hello@momentsinvine.com to seek a resolution informally.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect, and the invalid or unenforceable provision will be deemed modified to the minimum extent necessary to make it valid and enforceable.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Moments in Vine regarding the Waitlist and supersede all prior agreements and understandings, whether written or oral.

17. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Posting the updated Terms on this page
• Updating the "Last updated" date
• Sending you an email notification (for significant changes)

Your continued participation in the Waitlist after changes are posted constitutes your acceptance of the modified Terms.
